Today's Agent Skill: Supplier Liability and Indemnification Clause Reviewer
What It Does
Signing a supplier or vendor agreement without reviewing the liability clauses is one of the most common ways small business owners unknowingly expose themselves to unlimited financial risk. A single "indemnify and hold harmless" clause that covers third-party damages can cost you far more than the value of the contract itself. This skill scans vendor contracts specifically for liability and indemnification language and flags every clause that needs attention before you sign.
How It Works
The agent scans the pasted contract text for liability caps, indemnification provisions, hold-harmless clauses, limitation of damages, and insurance requirements. It rates each clause as Green (standard), Yellow (one-sided or unusual), or Red (highly unfavorable), explains in plain language what each clause means, and suggests a more balanced version of any problematic language—so you walk into negotiations knowing exactly what to push back on.
How to Deploy It
Paste the contract text into Claude Code, Gemini CLI, Cursor, or Windsurf and run this skill. You'll get a flagged review with plain-language explanations and negotiation suggestions in about 30 seconds. Always have contracts above $10,000 or with unusual risk terms reviewed by a licensed attorney before signing.
